Welcome to Simple Notes. These Terms of Use (“Terms”) govern your use of the Simple Notes mobile application (“App”) provided by Blaxmith (“we,” “us,” or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By accessing or using Simple Notes, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. DESCRIPTION OF SERVICE

Simple Notes is a note-taking application that provides:

• Create, edit, and organize personal notes

• Cloud synchronization across devices

• AI-powered features including title rewriting, content improvement, semantic search, smart note merging, and tag suggestions

• Offline access to your notes

3. ACCOUNT REGISTRATION

To use certain features of the App, you must create an account using Apple Sign In. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized use of your account

4. SUBSCRIPTIONS & PAYMENTS

4.1 Free Tier

The App offers a free tier with limited AI features (50 AI actions per month).

4.2 Pro Subscription

The Pro subscription provides enhanced features including 200 AI actions per month. Pro subscriptions are available as:

• Monthly subscription

• Annual subscription

4.3 Billing

• Payment will be charged to your Apple ID account at confirmation of purchase

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period

• Your account will be charged for renewal within 24 hours prior to the end of the current period

• You can manage and cancel your subscriptions by going to your App Store account settings after purchase

• Any unused portion of a free trial period will be forfeited when you purchase a subscription

4.4 Price Changes

We reserve the right to change subscription prices. Any price changes will take effect at your next renewal period, and you will be notified in advance.

5. USER CONTENT

5.1 Your Content

You retain all rights to the notes and content you create in the App (“User Content”). By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the service to you.

5.2 AI Processing

When you use AI features, your content may be processed by third-party AI services to provide the requested functionality (such as rewriting, searching, or generating suggestions). We do not use your content to train AI models.

5.3 Prohibited Content

You agree not to use the App to store or transmit content that:

• Violates any applicable law or regulation

• Infringes on intellectual property rights of others

• Contains malware, viruses, or harmful code

• Is defamatory, obscene, or otherwise objectionable

6. ACCEPTABLE USE

You agree not to:

• Use the App for any illegal purpose

• Attempt to gain unauthorized access to our systems or other users’ accounts

• Interfere with or disrupt the App or servers

• Reverse engineer, decompile, or disassemble the App

• Use automated systems to access the App in a manner that exceeds reasonable use

• Resell or redistribute the App or its features

7. INTELLECTUAL PROPERTY

The App, including its design, features, and content (excluding User Content), is owned by Blaxmith and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our prior written consent.

8. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

9. DISCLAIMERS

9.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The App is provided “as is” and “as available” without warranties of any kind.

9.2 AI Features

AI-generated content is provided for convenience and may not always be accurate. You are responsible for reviewing and verifying any AI-generated suggestions before use.

9.3 Data Loss

While we implement measures to protect your data, we are not responsible for any loss of User Content. We recommend maintaining your own backups of important information.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Blaxmith shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the App.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Blaxmith and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the App or violation of these Terms.

12. TERMINATION

We may suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the App will immediately cease.

13. CHANGE OF TERMS

We may update these Terms from time to time. We will notify you of significant changes by posting the new Terms in the App or on our website. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
